The deal process step by step

From accepted offer to completed deal: letter of intent, agreement and documents, payment directly between you, handover, deadlines and proof of purchase.

When an offer is accepted, or a buyer buys at a fixed price, Sitavo starts a deal with a deal number (for example HND-2026-1234). You find it under Offers and deals. Buyer and seller see the same steps, deadlines and documents, and the «Your turn» field always shows what is waiting for you. The steps are the same whether you are trading a webshop, a hair salon or a limited company.

The steps of a deal

  1. Offer. The offer has been accepted. Other open offers on the listing are parked, and the listing shows «Under negotiation».
  2. Letter of intent — only if the seller has chosen one on the listing. You both accept the letter of intent (LOI) with price, terms and any exclusivity. Without it, the step is skipped (quick deal).
  3. Agreement. You review and accept the documents the seller has chosen, optionally set up a loan agreement for payment in instalments, and finally both confirm the price and what is included. Once both have confirmed, the agreement is concluded.
  4. Payment. The seller enters an account (Danish account, IBAN or escrow). The buyer pays directly and registers the payment, and the seller confirms the money has arrived.
  5. Handover. You complete the handover items, the seller sends them for approval and the buyer confirms. See handing over the business in the deal.
  6. Completed. The deal is closed, the listing is marked as sold, and you get a receipt and a free proof of purchase (PDF) covering the whole process. You can review each other.

Documents at the agreement step

Documents are always optional — none are required to trade. The seller chooses them on the listing, so the buyer knows them in advance:

  • Sitavo’s agreements: the purchase agreement, asset list and transfer declaration are filled in automatically with the deal’s details. They are free for deals on Sitavo, and you approve them under the Agreements tab.
  • The seller’s own PDFs: the buyer opens and accepts each document. The acceptance is stored with the time and a fingerprint of exactly the file that was opened. The agreement can only be confirmed once all are accepted.
  • The deal package: if you want more documents, such as an extended purchase agreement with clauses and a time-stamped handover report, you can choose a deal package on the «You agree on the price» card.
  • Payment in instalments: you can set up a loan agreement with a down payment, interest rate and number of instalments. The payment step then covers the down payment, and the instalments are tracked in an overview with reminders.

The documents are templates filled in with the deal’s details and are not legal advice. Have a lawyer review them for larger deals and share deals. Acceptance is electronic and documented, but it is not a MitID signature.

Deadlines

WhatDeadlineIf the deadline passes
Agreement confirmed and payment registered14 days (never shorter than an accepted letter of intent promises)Warning 3 days before — then the deal is cancelled automatically
Seller confirms the payment7 days after the buyer registers itReminders — after the last one, the payment is treated as received
Seller completes the handover30 days after confirmed paymentReminders and a route to a dispute
Buyer approves the handover7 days after «Send for approval»Up to three reminders — then the deal is approved automatically 7 days after the last one, unless a dispute has been opened

If you need more time, one party can ask for 7, 14 or 30 extra days; the deadline moves once the other accepts. After payment, nothing is cancelled automatically. Both parties are told the dates in advance, and reminder emails have a button that goes straight to the action.

Advisers, tasks and changes

Each party can invite their lawyer, accountant or broker into this specific deal and choose what they may do: read documents, write messages, upload files or see the financials. Advisers can prepare documents, but only buyer and seller can accept, confirm and pay. Read more about advisers on Sitavo. If a party changes their details during the deal — such as name, address or account — the other party gets a clear warning, and the change appears in the timeline.

If something goes wrong

  • Cancellation before payment: one party requests it with a reason. If the other does not reply within 7 days, the deal is cancelled automatically. The listing and all parked offers reopen.
  • Cancellation after payment: requires both parties’ acceptance. The seller marks the refund, and the buyer confirms receiving the money.
  • After an auction: if the deal falls through, it moves to the next-highest valid bid. See bidding rounds and auctions.
  • Disagreement: tap Open dispute in the deal. The guide in Help and cases collects your explanation and evidence, the deal is paused, and Sitavo makes a reasoned decision.

When the deal is completed

The proof of purchase gathers the deal in one document and sits with the receipt under the Documents tab. The price is never public after the sale — only the seller and the buyer see it. As the seller, you can also choose Anonymise the sale, which moves the sold listing to a neutral page without figures; this cannot be undone. For the practical work after the deal, the plan for the first 90 days helps with the transition, access and knowledge transfer.

The markings are your own records. Sitavo does not touch the money, does not see the handover itself and cannot reverse payments. Only confirm and approve once you have checked yourself that everything is in order. See Payment when buying a business.
