Looking for an investor:
raising capital for your business
An investor provides capital in return for equity. That is a different deal from a bank loan: there is no interest or repayment, but you share future profits and value — and often some of the decisions. So consider first whether a loan, an overdraft or leasing would solve the need.

Outside capital usually makes sense when the money funds growth that cannot otherwise be financed:

- stock and marketing to scale an online shop
- developing a SaaS product before revenue can carry it
- buying a competitor or a partner’s stake
What investors look forA documented track record: accounts, monthly figures and key ratios.Guide
- A documented track record: accounts, monthly figures and key ratios. Investors invest in what can be documented, not in a forecast alone.
- A clear plan for the money: what the capital is for and what it is expected to deliver.
- Management: who runs the business, and will they stay?
- Valuation: what is the business worth before the investment (pre-money)? It decides how much equity the investor gets for the amount.
- An exit route: how and when the investor gets the money back — dividends, selling the stake or selling the whole business.

Example with made-up figures: if the business is worth DKK 3 million before the investment and an investor puts in DKK 1 million, it is worth DKK 4 million afterwards and the investor owns 25%. A higher valuation means you give away less equity for the same amount. Start with a valuation so your position is well reasoned.

An investment is normally set out in an investment agreement (amount, valuation, conditions) and a shareholders’ agreement that governs the relationship afterwards: board, voting rights, dividends, pre-emption rights, deadlock and the rules for selling a stake. In practice the business must be a limited company (ApS or A/S); a sole proprietorship has to be converted first. Have a lawyer draft the agreements and talk to your accountant about tax.
How to find an investor on SitavoCreate an investment listing.Guide
- Create an investment listing. Describe the business, the amount you are raising and what it is for. The name and figures can stay hidden until the investor has signed an NDA.
- Browse the investor profiles and message those who match on amount and sector.
- Share accounts, budget and presentation in the data room with the investors you take forward. The sales presentation template can help.
Sitavo is a marketplace, not a financial adviser. We make the introduction but do not assess the investment or handle the money. That applies to physical businesses (a clinic, a workshop or a restaurant opening a second site) as well as digital ones.

- Agree on valuation, investment agreement and shareholders’ agreement directly with the business — ideally with an adviser.
If you would rather buy a whole business, see businesses for sale or create a buyer request, and if you want to buy in as an active co-owner, see partner wanted.

Yes. Creating a listing and an investor profile and messaging through Sitavo are free.
It depends on the amount and on what the business is worth before the investment. The investor’s stake is the amount divided by the value after the investment. There is no fixed norm, so negotiate from a well-reasoned valuation.
In practice, yes. An investor buys shares, so the business has to be a limited company. A sole proprietorship can be converted, in some cases without immediate tax. Talk to your accountant before you start.
