How buying a business in Denmark works

Most acquisitions of small and mid-sized Danish businesses follow the same path: you find a business that fits your experience and budget, get the first figures and a conversation with the owner, sign an NDA to see the confidential material, make an offer and carry out due diligence before the purchase agreement is signed and a handover date agreed. Expect the process to take months rather than weeks, especially when financing, the lease and staff need to be settled.

Be clear about what you are buying: a business you will run yourself, or one with a manager and staff that runs without you. That decides which listings are relevant and how the price should be judged.

Local and online businesses for saleThe list covers both.Selling

The list covers both. A business with premises — a restaurant, a shop or a trade business — comes with a location, staff and often licences, and you will find it under its region. An online business — an e-commerce store, a SaaS product or a website — can be run from anywhere and therefore has no region. To see only one kind, choose “Businesses” or a digital category above the list.

What is a Danish business worth?Smaller owner-managed businesses are usually priced as a multiple of the profit a new owner can expect.Guide

Smaller owner-managed businesses are usually priced as a multiple of the profit a new owner can expect. For most traditional industries, Sitavo’s indicative ranges sit at 1.5–5 times annual profit — lowest for shops, restaurants and salons, where the owner’s own work counts for a lot, and highest for manufacturing and energy businesses with staff, machinery and established customers. Property is valued on its operating yield instead. These are general market ranges, not a valuation of a specific business. Use the price estimate, and see each industry page for its figures.

In an asset deal you buy the business activities — fixtures, stock, customers, name and contracts — and choose what to take over. In a share deal you buy the company itself (typically an ApS or A/S) with all its contracts, permits and liabilities, including ones nobody has spotted yet. A share deal therefore calls for deeper due diligence and stronger warranties. Either way, Danish law transfers employees to the new owner on their existing terms. Foreign buyers can buy Danish businesses, but plan for the practicalities: purchase agreements, leases and employment contracts are usually in Danish and under Danish law, many licences and authorisations are personal and must be applied for by the new owner, and banks generally want a Danish company and local presence. A Danish lawyer and accountant are worth involving early. Many sellers on Sitavo are happy to correspond in English.

  • Annual accounts and current bookkeeping for at least two to three years, and whether they match the listing.
  • The lease: term, rent, notice and whether it can be transferred.
  • Staff: contracts, pay, seniority and key people who might leave.
  • The largest customers and suppliers, and what happens if one disappears.
  • Licences, permits and authorisations the business depends on.
  • Debt, leasing agreements, guarantees and pending disputes.

Financing usually combines own funds, a bank loan and often vendor financing or an earn-out. Messaging sellers and making offers on Sitavo is free, and the deal runs in one workflow from offer to handover. Sitavo never holds the purchase price — it is paid directly to the seller.
