Buying a business in Denmark: where to start

A good acquisition starts with a clear brief. Decide on type, size and budget, and whether you will work in the business yourself or buy something that runs with staff. Save your search as a search alert to be notified about new listings that match — the best businesses often sell quickly. You can also describe what you are looking for in a buyer brief, so sellers with a suitable business can find you.

Step-by-step knowledge that helps you make the right decision.

OverviewSearch and compare.Introduction
  1. Search and compare. Use the filters, and read each listing’s figures critically: where does the revenue come from, and how much work is behind it?
  2. Contact the seller. Ask specific questions about figures, customers, staff and the reason for selling.
  3. Sign the NDA. Confidential information and documents are often in a data room that opens once the seller has approved your NDA.
  4. Make an offer. An offer is valid for 7 days, and the seller can accept, decline or counter.
  5. Due diligence and agreement. Review the figures and contracts before signing, and have an adviser look at the purchase agreement.
  6. Payment and handover. The purchase price is paid directly to the seller, and you complete the handover step by step in the deal workflow.

Digital businesses — ecommerce, SaaS, apps, websites and content sites — can often be run from anywhere and handed over in days, which makes them the natural choice for international buyers. They do depend on traffic, platforms and often a few key people. Traditional businesses — browse them by region under businesses for sale in Denmark — come with premises, a lease, staff and often licences or authorisations that require Danish approval, and the handover takes longer. In return they tend to have a stable customer base that does not vanish with an algorithm update.

Is the asking price fair?Smaller businesses are usually priced as a multiple of profit, and the multiple depends on the industry.Finance

Smaller businesses are usually priced as a multiple of profit, and the multiple depends on the industry. Sitavo’s indicative ranges run from around 1.5 times annual profit for owner-dependent businesses to several times profit for businesses with steady growth, staff and recurring revenue — SaaS is valued on revenue (ARR). Each category page shows the range for that industry. Use the price estimate to test an asking price against the figures, and see market data for trends on Sitavo.

Listings marked “Figures verified” have been checked by Sitavo; other figures are the seller’s own, and you should verify them yourself. Sitavo does not handle the purchase price and offers no escrow — payment goes directly from you to the seller. For larger amounts you can split the payment so part is paid after the handover, or use a lawyer. Read the pre-purchase checklist and how payment works before your first offer.

  • Creating an account, messaging sellers and making offers is free. You pay only for the business — directly to the seller — and for any optional extras such as the legal package.

  • Yes. Listings, messages and offers work the same for buyers outside Denmark. Digital businesses are usually easiest; for traditional businesses, plan for Danish contracts, licences and a local adviser.

  • Ask for accounts, bookkeeping and access to the systems the figures come from, and compare them with the listing. Listings marked “Figures verified” have been checked by Sitavo.

  • An NDA is a confidentiality agreement. Many sellers only reveal the name, address and detailed figures once you have signed, so competitors and staff do not hear about the sale too early.

  • Yes. Search and filter, then choose “Save as search alert”. You will be notified when a new listing matches.
