Frequently asked questions

  • Usually a non-disclosure agreement (NDA), a sales presentation, a letter of intent (LOI), a due diligence checklist for the buyer and a purchase agreement for either the assets or the shares. Depending on the deal, you may also need a power of attorney, a new lease or a business lease agreement.

  • You can read the first sections for free. The NDA and the due diligence checklist can be filled in and downloaded with a verified account. The other templates require an active or pending listing or an ongoing deal on Sitavo. Listings are free.

  • Yes. The templates are written for both online and physical businesses, and there are separate templates for commercial leases and for leasing out a business such as a restaurant, café or shop.

  • The templates are filled in with the editor in your account and downloaded in Word and PDF. The due diligence checklist downloads as a PDF, and the key figures sheet as a spreadsheet (CSV) or PDF.

  • That is recommended, particularly for the purchase agreement. The templates are a thorough starting point, but they do not take account of the specific circumstances of your deal, such as tax, employees, leases or special warranties.

Which document do you need, and when?

A business sale almost always follows the same order, and that applies to an online shop, a SaaS product, a hair salon and a trade business alike. The documents below are listed in the order you will usually need them. Each builds on the previous one, so it pays to get the first one right.

Asset sale or share sale? The biggest choice in the documents is what is being sold.Selling

The biggest choice in the documents is what is being sold. In an asset sale, the buyer acquires the individual parts of the business, such as fixtures, stock, domains, customer records and goodwill, while the company and its history stay with the seller. In a share sale, the buyer acquires the whole company (a Danish ApS or A/S) with all its assets, contracts and liabilities. The choice affects tax, liability, employees and which contracts need third-party consent. The seller’s guide chapter on asset or share sale explains the differences, and your accountant should look at the tax position before you decide.

Online and physical businessesThe templates cover both.Types

The templates cover both. For an online business, much of the work is transferring domains, hosting, source code, accounts and traffic sources, which is covered in the purchase agreement’s asset list and the due diligence checklist. For a physical business, the lease, fixtures, stock, licences and employees often matter most. That is where the commercial lease and possibly the business lease come in, and the Danish Transfer of Undertakings Act (virksomhedsoverdragelsesloven) can mean that employees move to the buyer; see the chapter on physical businesses.

Who can use the templates?Everyone can read the first sections of each template on this site.Guide
  • Everyone can read the first sections of each template on this site.
  • With a verified account you can fill in and download the NDA and the due diligence checklist, because buyers need them before there is an offer.
  • With an active or pending listing, or an ongoing deal, you can use the whole library: fill in the fields in the editor in your account, edit the wording directly, save drafts and download in Word and PDF. Fields can be pre-filled from your own listings and deals.
  • The seller’s guide and the key figures sheet are free for everyone with an account.

The agreement texts are in Danish, because the deals they cover are governed by Danish law. Listings on Sitavo are free, so if you have a business for sale, you get access to the templates by creating a listing.

Template or lawyer?A good template saves time and gives you a structure, so you know what needs deciding.Guide

A good template saves time and gives you a structure, so you know what needs deciding. It does not replace advice. The larger the deal, and the more employees, leases or customers with personal data involved, the more important it is to have a lawyer review the agreement and an accountant look at tax and VAT. If you want help with the whole process, you can find an adviser or broker, and if you want a realistic price level first, start with a valuation.

Not legal advice. The template is a general starting point and not legal, tax or financial advice. It does not take account of the specific circumstances of your particular deal. Always adapt the document, and have a lawyer and an accountant review it before it is signed. Sitavo is not a party to the agreement and accepts no liability for the use of the template.
