A software house can earn money in two ways: development hours for clients, or its own products sold as licences or subscriptions. Hourly work follows the number of developers and must be sold again every month. Licences and maintenance agreements bring recurring income and are worth more. Ask for revenue split between hours, fixed agreements and licences, and see how much of the hourly work comes from regular clients with ongoing tasks.
Rights to the codeEstablish who owns the code the business has written.Guide
Establish who owns the code the business has written. Code developed for a client often belongs to the client, while the company’s own products and reusable components should belong to the company. Review the contracts, and check that rights from employees and freelancers have been assigned in writing. Look at open source components and their licences too, and at whether the source code is documented so others than the original developer can keep working on it.
The developers are the company’s most important asset. Ask how long they have been employed, who knows the largest clients’ systems, and whether retention agreements exist. Lose the two developers who know the core system, and you lose much of the value.

Sitavo’s indicative range for IT companies is 3–5 times profit (EBITDA), cross-checked against 0.5–1.2 times revenue. Own products with licences and maintenance agreements push the price up, while pure hourly work for a few clients usually sits low. If a large share of revenue is recurring subscriptions, compare with SaaS businesses for sale as well.
