What makes an agency different

An agency usually holds no stock, so its value lies almost entirely in the agreements with principals and the relationships with customers.

Guides on the topic

Step-by-step knowledge that helps you make the right decision.

OverviewAn agent does not buy the goods.Introduction

An agent does not buy the goods. The agent brokers sales for a principal and earns commission on revenue in their territory. That means little capital tied up, but a business resting on a few agreements. Many agency agreements are personal and tied to the agent who signed them. So ask directly: have the principals accepted a change of owner, and will they sign with you?

Agency agreements in Denmark are governed by the Danish Commercial Agents Act, which among other things covers termination and the agent’s rights when an agreement ends. Have a Danish adviser review the notice periods and what rights the agency has if a principal terminates after the deal.

Customer relationships follow the personCustomers often buy because they know the agent.Guide

Customers often buy because they know the agent. Ask for a customer list with commission per customer and per principal, and how many customers have been buying for several years. Agree a transition period in which the seller takes you to meet key customers and principals. Consider making part of the price depend on the agreements continuing.

Sitavo’s indicative range for trading is 2.5–4.5 times EBITDA, cross-checked against 0.2–0.6 times revenue. For an agency, commission income and the durability of the agreements decide where it lands. Several principals on long agreements push the price up; one principal and personal agreements pull it down.
