English translation
This English version is provided for convenience. The Danish version is the legally binding text; if the two differ, the Danish version prevails.
Read the Danish versionWho these terms apply to
These terms apply to businesses (“the firm”) admitted as a Sitavo adviser (broker, lawyer, accountant or other adviser) and to each person the firm gives access to the adviser portal (“the adviser”). Sitavo’s general terms and privacy policy also apply; in case of conflict, these terms prevail as regards the adviser portal.
The firm accepts the terms when applying, and each adviser accepts them when joining the firm’s profile. The acceptance is stored with version and time.
No commission — and Sitavo is not a party to your agreement
- Sitavo never takes commission on deals and never charges per enquiry or per client. Sitavo only earns money from the firm’s optional subscription (Adviser Plus) and paid visibility (featured placement), see below.
- You agree your fee directly with your client. Sitavo is not a party to that agreement, does not collect the fee and is not liable for it.
- The firm may describe its fee model on its profile. The description must be accurate.
Subscription, featured placement and launch discount
- Adviser Basic (free): All approved firms get a public profile, the adviser portal for their own clients (clients the firm invites, or who invite the firm) and 1 seat in the team (the owner) free of charge.
- Adviser Plus is a subscription per firm, paid monthly or yearly, with a place in Sitavo’s distribution of «Find an adviser» enquiries, visibility in the adviser box on listings, full statistics, export and more seats in the team (extra seats are paid per seat; on the yearly plan an extra seat costs 12 times the monthly price). The price is shown on the subscription page and the invoice. The subscription belongs to the firm; the firm’s owner or administrator orders and pays, and the invoice is issued to the firm’s name and CVR.
- The subscription runs one month or one year at a time, as the firm chooses, and renews automatically for an equivalent period on the saved card until cancelled. On the yearly plan, the firm’s owners and administrators are notified 14 days before the renewal with the amount and date. The firm can switch between monthly and yearly billing with effect from the next renewal. The subscription can be cancelled at any time and then runs until the end of the period; paid periods — including yearly periods — are not refunded. If a renewal fails, Sitavo tries again after 1, 3 and 7 days and notifies the firm; after that the firm moves to Basic. Price changes apply from the next renewal and are announced.
- A place in the distribution means the firm is among the firms Sitavo automatically sends enquiries to by industry, region and fair rotation (at most three firms per enquiry). No particular number of enquiries or clients is guaranteed, and nothing is paid per enquiry.
- Featured placement is time-limited, paid visibility for an industry or region: the firm is shown at the top of the adviser directory and first in the adviser box on listings in the industry. It is always clearly marked «Ad». If several firms have bought the same placement, the order changes daily.
- Launch discount: During a period that Sitavo sets and may end for new sign-ups without notice, firms ordering Adviser Plus for the first time get 50% off the Plus subscription for the first 12 months from the first paid period. On the yearly plan the discount applies to the months of the yearly period that fall within those 12 months. The discount does not apply to extra seats or featuring. It is shown on the subscription page and the invoice, stays with the firm even after a cancellation within the 12 months, and ends automatically after that, when the ordinary price applies.
- When moving to Basic nothing is deleted: clients, tasks, documents and the log are kept. If there are more active members in the team than the plan’s seats, owners, then administrators and then other advisers have full access — longest in the firm first. The others get read-only access (they can see, but not act for clients) until there is room again.
- For certain professions (e.g. lawyers and accountants), Sitavo may, out of regard for the professional rules on referral fees, make the distribution of enquiries independent of the subscription. The subscription page shows what Plus includes for the firm.
Admission and verification
- The firm must have an active Danish CVR number. Sitavo looks it up in the CVR register and may ask for documentation.
- Each adviser’s affiliation with the firm is confirmed by an email address on the firm’s domain, verified identity (the name must match the account) or manually by Sitavo.
- Lawyers and accountants state their licence or registration number, which Sitavo checks in the public register.
- The “Sitavo adviser” badge means that Sitavo has checked identity and CVR — not the quality of the advice. The adviser must not present it otherwise.
- Sitavo may reject an application and re-verify the information at any time.
The firm and its advisers
- The firm’s owner and administrators invite and remove advisers, assign clients and maintain the profile. The firm is responsible for its advisers’ use of Sitavo.
- The client relationship belongs to the firm. Only the responsible adviser and the colleagues assigned to the client can access the client’s data — and the client can see who they are.
- When an adviser leaves the firm, they immediately lose access to the firm’s clients.
Access to the client’s data
- You only get the access the client grants — for the listings, areas and period the client chooses. You can request more, but the client decides.
- You may only use the information to help the client with the deal or task the access was granted for — never for marketing, other clients or your own purposes.
- You can never finally accept or reject a bid, sign or approve agreements, pay, change the client’s account or delete listings on the client’s behalf. Prepared bids, responses to bids and NDA requests must be approved by the client, unless the client has granted the firm a power of attorney covering the action (see «Digital power of attorney»).
- Everything you do on the client’s behalf — including denied attempts — is logged and shown to the client. Counterparties can see when a message was written by an adviser on the client’s behalf.
- The client can change or revoke access at any time. Your access then ends immediately, and you are removed from the client’s deals.
Digital power of attorney
- In Sitavo the client can grant the firm a digital power of attorney for specific actions: making, raising and withdrawing bids up to a limit, accepting non-disclosure agreements (NDAs) and sending counteroffers — for all or selected listings and for a limited period (at most one year). The client accepts the text in Sitavo; the acceptance is recorded with a timestamp.
- The power of attorney only covers actions in Sitavo and only within its limits. Finally accepting or rejecting a bid, signing or approving agreements, paying and changes to the client’s account are never covered.
- You may only use the power of attorney in the client’s interest and in line with your agreement. Actions within it bind the client; the firm is liable to the client for use beyond the agreement.
- The client is notified every time it is used, and everything is logged. The counterparty can see that the action was taken by the firm on the client’s behalf under a power of attorney.
- The client can revoke it at any time with immediate effect. It also ends when it expires and when the engagement with the client ends.
Deals that start on Sitavo are completed on Sitavo
- When a client you help has come into contact with a counterparty through Sitavo — via a listing, a conversation, a bid or an NDA — the deal itself between the parties is carried out through Sitavo: messages, bids, agreements, payment plan and handover.
- You must not encourage the parties to continue the deal outside Sitavo or move it off the platform yourself. This does not apply to your own advice to the client (meetings, phone calls and your fee), which you agree directly.
- Sitavo still takes no commission. The rule ensures that both parties have documentation, security and protection of their personal data all the way. Repeated breaches may lead to suspension.
Data protection
The adviser (the firm) is an independent data controller for the personal data the firm gets access to through Sitavo. Reason: the firm determines the purpose of the processing itself — its advice to the client — and is subject to its own professional and statutory duties (e.g. anti-money-laundering rules and confidentiality). Sitavo does not instruct the firm and does not process data on the firm’s behalf. Sitavo is the data controller for the platform, access control and the log.
- The firm must have a valid legal basis (typically the agreement with the client) and fulfil its duty to inform the client.
- Information about counterparties (buyers, sellers) may only be used in the specific deal and must not be used to contact them for other purposes.
- A counterparty’s full name, email and phone number are only shown once the counterparty has shared them with the client. You must not try to obtain them outside the sharing — for example by asking for them in messages.
- The firm must protect the information with appropriate security and delete it when no longer needed, at the latest when the engagement has ended and any statutory retention period has expired.
- Personal data breaches involving information from Sitavo must be reported to Sitavo without undue delay.
Data controllership and data processing agreements
- In the ordinary advisory relationship the firm is an independent data controller, and no data processing agreement is needed between the client and the firm.
- If, in a specific task, the firm processes information solely on the client’s instructions and without a purpose of its own, the firm is the client’s data processor. The firm and the client must then sign a written data processing agreement before the processing begins. Sitavo provides a template under Data processing for advisers.
- Sitavo is not the firm’s data processor and is not a party to agreements between the firm and the client on data processing.
- Extracts from the adviser portal (e.g. exports of the client list or the log) may only be used to manage the engagement with the clients. Exports are logged and shown to the clients concerned.
Confidentiality
Information from data rooms, NDA-protected listings, bids and messages is confidential. You must not disclose it to anyone other than the client and people who need it for the task and are themselves bound by confidentiality. Confidentiality continues after the engagement ends. Discreet sales must be respected — the client’s identity must not be revealed before the client has released it.
Good practice and conduct
- You must act loyally towards the client and follow the rules that apply to your profession.
- Conflicts of interest — for example advising both parties in the same deal — must be disclosed to the parties concerned before you help.
- You must not provide misleading information in listings or profiles, influence reviews or circumvent Sitavo’s security, moderation or payment flows.
- Leads from Sitavo must be answered within 48 hours (accept, or decline with a short reason) and may only be used to help the person who made the enquiry.
Liability
- The firm alone is responsible for its advice and for the actions its advisers take on the client’s behalf.
- Sitavo is not responsible for the content or quality of the advice, for agreements between the firm and the client or for deals between the client and the counterparty.
- Sitavo provides the adviser portal as is and is not liable for indirect loss.
- The firm indemnifies Sitavo against third-party claims resulting from the firm’s breach of these terms or the law.
Suspension and termination
- Sitavo may suspend a firm or an adviser with immediate effect on suspicion of breach of these terms, misuse of access or incorrect information. While suspended, there is no access to clients’ data.
- The firm may close its profile at any time. Clients are notified, access ends, and leads not yet accepted are returned to Sitavo.
- The client’s log of what has been done on their behalf is kept as documentation for the client.
Changes
Sitavo may change these terms with at least 30 days’ notice. Material changes require the firm and its advisers to accept the new version before they can continue using the adviser portal.
Governing law and disputes
These terms are governed by Danish law. Disputes are settled by the Danish courts at Sitavo’s home venue.
